1. Introduction & Acceptance of Terms
Welcome to SQUADFIT. These Terms of Service ("Terms") govern your access to and use of the SQUADFIT platform, including our website, applications, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
These Terms constitute a legally binding agreement between you and SQUADFIT ("we," "us," or "our"). We reserve the right to update these Terms at any time, and your continued use of the Service after such changes constitutes acceptance of the updated Terms.
2. Description of Service
SQUADFIT is a software-as-a-service platform that connects fitness coaches ("Coaches") with their clients ("Clients") for personalized training programming, nutrition tracking, progress monitoring, and communication. The Service provides tools for workout creation, program assignment, macro tracking, check-in management, messaging, and AI-powered nutrition guidance.
SQUADFIT acts as a technology platform and marketplace. We do not provide fitness coaching, personal training, nutritional counseling, or medical advice directly. The coaching relationship exists between the Coach and the Client. SQUADFIT facilitates this relationship through our platform tools but is not a party to any coaching agreement between Coaches and Clients.
3. User Accounts
To use the Service, you must create an account through our authentication provider, Clerk. You may sign up using your email address or through supported social login providers. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You agree to provide accurate, current, and complete information during registration and to update your information to keep it accurate and current. You must immediately notify us of any unauthorized use of your account or any other breach of security. SQUADFIT will not be liable for any loss or damage arising from your failure to comply with these obligations.
4. Coach Terms
Coaches must apply through the SQUADFIT onboarding process and provide information about their qualifications, certifications, specializations, and coaching experience. SQUADFIT reserves the right to review, approve, or reject coach applications at our sole discretion. Approved Coaches may create a public profile, set up subscription tiers, and accept Clients through the platform.
Revenue from Client subscriptions is split between the Coach and SQUADFIT on an 80/20 basis, where the Coach receives 80% and SQUADFIT retains 20% as a platform fee. Payments are processed through Stripe Connect, and Coaches must maintain a valid Stripe Connect account in good standing. Payouts are subject to Stripe's processing timelines and policies.
Coaches retain ownership of the training programs, workout content, and educational materials they create on the platform. However, by uploading content to SQUADFIT, Coaches grant us a non-exclusive, worldwide license to display, distribute, and use such content as necessary to operate the Service. Coaches are solely responsible for the accuracy and safety of the training programs and advice they provide to Clients.
5. Client Terms
Clients may subscribe to one or more Coaches through the platform by selecting a subscription tier. Subscriptions are billed on a recurring basis according to the billing cycle specified by the Coach (monthly or otherwise). By subscribing, you authorize SQUADFIT to charge your payment method on file for the applicable subscription fees.
You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing period, and you will continue to have access to the Coach's services until that time. Refunds are handled on a case-by-case basis and are subject to the Coach's refund policy as well as SQUADFIT's refund guidelines. We do not guarantee refunds for any subscription period during which you had access to the Service.
6. Payment Terms
All payments on the platform are processed through Stripe, a third-party payment processor. By using the Service, you agree to Stripe's Terms of Service and Privacy Policy. SQUADFIT does not store your full credit card information on our servers.
Subscription fees are billed in advance on a recurring basis. The platform fee (20% of subscription revenue) is deducted before disbursement to the Coach. All fees are stated in US dollars unless otherwise specified. You are responsible for any applicable taxes. Failed payments may result in suspension or termination of your access to coaching services.
7. Acceptable Use Policy
You agree not to use the Service for any unlawful purpose or in violation of these Terms. Prohibited activities include but are not limited to: impersonating any person or entity; transmitting spam, malware, or malicious content; harassing, threatening, or abusing other users; attempting to gain unauthorized access to other accounts or systems; scraping or data mining the platform; and using the Service to promote products or services unrelated to fitness coaching.
Coaches must not provide medical diagnoses, prescribe medications, or offer advice outside the scope of their professional qualifications. All communications through the messaging system and AI features must comply with our content guidelines. SQUADFIT reserves the right to suspend or terminate accounts that violate this Acceptable Use Policy.
8. Intellectual Property
The SQUADFIT platform, including its design, logos, trademarks, software code, exercise database, body map illustrations, and all other proprietary materials, is owned by SQUADFIT and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the platform without our prior written consent.
User-generated content, including workout programs, training plans, check-in notes, and messages, remains the property of the user who created it. By submitting content through the Service, you grant SQUADFIT a non-exclusive, royalty-free license to use, display, and distribute that content solely for the purpose of providing and improving the Service.
9. Privacy
Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in our Privacy Policy, including the collection of fitness data, body measurements, progress photos, and nutrition information necessary to provide coaching services.
10. Disclaimers & Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. SQUADFIT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. We do not endorse or guarantee the qualifications, advice, or programs of any Coach on the platform.
SQUADFIT is not a medical provider. The Service, including AI-powered nutrition features, is not intended to diagnose, treat, cure, or prevent any disease or medical condition. Information provided through the platform, including macro recommendations and workout programming, is for general fitness purposes only and should not be considered medical advice. You should consult a qualified healthcare professional before beginning any exercise or nutrition program.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SQUADFIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, OR GOODWILL. IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE AMOUNTS PAID BY YOU TO SQUADFIT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Termination
You may terminate your account at any time by contacting us or through your account settings. SQUADFIT may suspend or terminate your account at any time for any reason, including but not limited to a violation of these Terms. Upon termination, your right to use the Service will immediately cease.
If you are a Coach, termination of your account will result in the cancellation of all active Client subscriptions. You will receive any outstanding payouts for services rendered prior to termination, subject to Stripe's processing timelines. Clients whose Coach accounts are terminated will be notified and may choose to subscribe to a different Coach.
12. Changes to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by updating the "Last updated" date at the top of this page and, where appropriate, providing additional notice via email or an in-app notification. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.
